These Terms & Conditions ("Terms") govern your use of services provided by Abadila Acquisition ("we," "us," "our"), including paid advertising management, landing page and funnel builds, AI-powered lead response agents, and local SEO services (collectively, the "Services"). By engaging our Services, you agree to these Terms.

1. Services Provided

Abadila Acquisition provides digital marketing and AI-powered lead generation services to hair transplant, dental, and LASIK clinics, and other businesses we agree to work with. The specific scope of Services for each client is defined in that client's individual service agreement or onboarding documentation.

2. Payment Terms

• Our standard retainer is billed monthly, with 50% due upfront and the remaining 50% due after 30 days of service, unless otherwise agreed in writing.
• Advertising spend (Meta, Google, or other platforms) is separate from our service fee and is paid directly by the client into their own ad accounts. We do not mark up ad spend.
• Subscription-based products (such as the AI Lead Response Agent) are billed monthly with a minimum commitment period as stated at the time of purchase.

3. Our Guarantee

Where a guarantee is offered (such as our 50/50 risk-shared guarantee), the specific terms of that guarantee will be documented in writing and provided to the client before the engagement begins. Guarantees apply only to the specific terms stated in that documentation.

4. Client Responsibilities

• Clients are responsible for providing accurate business information, timely feedback, and necessary access to accounts (ad accounts, business pages, WhatsApp Business accounts, etc.) required to deliver the Services.
• Clients retain ownership of their own ad accounts, business pages, and lead data at all times.
• Custom-built assets created by us — including landing pages, funnels, and AI agent configurations — remain our property unless otherwise agreed in writing, and access to these may be discontinued if the engagement ends.

5. AI Agent Services

Our AI-powered lead response agents are designed to provide fast, helpful responses to common inquiries. They are not a substitute for professional medical advice, and any medical, procedural, or highly specific question will be flagged for follow-up by a qualified member of the client's team. We are not responsible for decisions made based on general information provided by the AI agent.

6. Cancellation

Either party may cancel a monthly retainer with written notice, subject to any minimum commitment period stated at the start of the engagement. Subscription products may be cancelled following the minimum term specified at purchase.

7. Limitation of Liability

Abadila Acquisition provides marketing and lead generation services on a best-efforts basis. We do not guarantee specific business outcomes beyond what is explicitly documented in a written guarantee. We are not liable for indirect, incidental, or consequential damages arising from use of our Services.

8. Changes to These Terms

We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
